Listing Agreement for Real-Estate Agencies

Language of this Agreement

This is an English translation of the Spanish original. The Agreement is entered into with a Spanish company and is governed by Spanish law; in case of any discrepancy between the two versions, the Spanish version prevails.

1. Purpose of the Agreement

This Listing Agreement for Real-Estate Agencies (the “Agreement”) sets out the terms under which a real-estate agency, company or professional acting in the course of a business or professional activity (the “Agency”) contracts with KonnektWerk Tech & Entertainment S.L.U., owner of the LocalCheck platform, for a service to list and manage non-residential properties.

For the purposes of this Agreement, the properties covered by the service are exclusively:

  • commercial/retail units;
  • offices;
  • industrial or logistics buildings, or buildings used for business activities;

(together, the “LON Properties”).

The service allows the Agency to list and manage listings of those Properties on LocalCheck and to use the features of the plan it has taken out.

LocalCheck may additionally offer tools for the analysis, pre-assessment or estimation of planning/zoning, territorial or commercial viability.

LocalCheck is a technology provider and, unless otherwise expressly agreed in writing, takes no part in the sale, lease, assignment, brokerage or negotiation of the listed Properties.

Listing a Property does not make LocalCheck the owner, landlord, seller, real-estate agent, representative or agent of the Agency, of the owner or of any third party.

LocalCheck does not guarantee any commercial result from listing a Property.

2. The parties

On the one hand: KonnektWerk Tech & Entertainment S.L.U., Tax ID (CIF) B24903999, registered office at C/ Enamorats 81, Local A2, 08013 Barcelona, Spain, email contacto@localcheck.info. Hereinafter “LocalCheck” or “KonnektWerk”.

On the other hand: the individual or legal entity that completes the registration and sign-up process, whose identification details are collected during that process. Hereinafter the “Agency”.

The Agency's details may include:

  • company name or full name;
  • tax identification number (in Spain, CIF/NIF; in the United States, EIN or equivalent);
  • address;
  • email;
  • phone;
  • contact person;
  • website;
  • registration details;
  • registration number in the relevant professional register or licence number, where required;
  • any other information reasonably necessary to verify its identity and activity.

The person signing up represents that they have sufficient authority to represent and bind the Agency.

3. The Agency's professional status

The service governed by this Agreement is intended for individuals or legal entities acting in the course of a business or professional activity.

The Agency declares that it contracts LocalCheck for purposes related to its business or professional activity.

The Agency is responsible for ensuring that the person completing the sign-up process is duly authorised to act on its behalf.

The Agency shall notify LocalCheck of any relevant change to its identification details or professional status.

4. Relationship with LocalCheck's Terms and Conditions

Use of the LocalCheck platform remains subject to LocalCheck's general Terms and Conditions, available on the platform.

This Agreement is a specific agreement for Agencies and governs the particular terms of sign-up, listing and professional use of the service.

In case of conflict between these terms and LocalCheck's general Terms and Conditions: (a) the general Terms and Conditions remain applicable in general; and (b) this Agreement prevails solely on the matters it specifically regulates for the Agency, in particular price, promotion, minimum term, renewal, professional listing, verification and the Agency's specific obligations.

Everything not specifically governed by this Agreement is governed by LocalCheck's general Terms and Conditions.

The Agency declares that it has had access to both documents before completing sign-up.

5. Registration and sign-up

The Agency may register entirely by electronic means. During sign-up, the Agency must provide the required details and expressly accept this Agreement.

Before sign-up is completed, LocalCheck will clearly show the essential information about the plan, including, where applicable:

  • price;
  • VAT or applicable taxes;
  • billing period;
  • duration;
  • minimum term;
  • applicable promotion;
  • renewal terms;
  • cancellation terms;
  • included features.

The Agency may review and correct the details entered before completing sign-up.

The contract is concluded when the Agency correctly completes the sign-up process and LocalCheck records the acceptance.

LocalCheck may keep the accepted version of the contract and the technical records associated with sign-up.

6. Verification of the Agency

LocalCheck may carry out checks to reasonably verify the Agency's identity and professional activity. These checks may include:

  • formal validation of the tax identification number;
  • checking that the entity exists;
  • checking the website;
  • checking that the Agency matches the publicly available information;
  • checking professional registers or licences;
  • checks on the declared real-estate activity.

LocalCheck may carry out automatic and/or manual verification. Where a manual review is needed, LocalCheck will endeavour to complete it within a target of 72 business hours. That timeframe is indicative and is not an obligation of result.

Where the checks are satisfactory, LocalCheck may grant the Agency the “Verified Agency” badge. The badge only shows that LocalCheck has carried out certain checks on the available information. It is not:

  • an administrative certification;
  • a guarantee of solvency;
  • a guarantee of ownership of the Properties;
  • a guarantee of sufficient instruction;
  • a certification of activity;
  • a planning/zoning certification;
  • a guarantee that the listings are lawful;
  • a commercial endorsement of the Agency.

LocalCheck may withdraw or suspend the badge when the information used to grant it is no longer valid or there are reasonable indications of fraud or breach.

7. Professional registers and licences

The Agency declares that it meets the legal requirements to carry on its business.

Where applicable law requires registration in a professional register or a licence, the Agency must hold it and keep it current.

In Catalonia, where applicable, the Agency must provide and keep current its registration in the Register of Real-Estate Agents of Catalonia (AICAT). The reference to AICAT does not imply that registration is required outside Catalonia where the applicable territorial rules do not require it. In the United States, the Agency must hold the real-estate broker licence required by the state where it operates.

LocalCheck may ask the Agency for information or documents reasonably necessary to verify compliance with these obligations. The Agency is solely responsible for maintaining the authorisations, registrations, insurance and other requirements applicable to its business.

8. Listing properties

The Agency may list only LON Properties. Unless expressly enabled by LocalCheck, the following may not be listed:

  • homes;
  • rooms;
  • rural land;
  • building plots;
  • undeveloped land;
  • exclusively residential properties;
  • non-existent properties;
  • fraudulent listings;
  • misleading listings;
  • unlawful content.

Each listing must correspond to a real Property available for the advertised transaction. The Agency is responsible for keeping each listing up to date.

When a Property is no longer available, the Agency must remove it or update its status without undue delay.

LocalCheck may set reasonable technical or editorial requirements for photographs, titles, descriptions, categories, prices and other elements of the listing.

9. Ranking of listings

In compliance with Article 5 of Regulation (EU) 2019/1150 on promoting fairness and transparency for business users of online intermediation services, LocalCheck discloses the parameters that determine the order in which listings are shown:

  • Default order: publication date, newest first. No other factor alters it.
  • Order chosen by the user: results can be re-sorted by price, ascending or descending.
  • Filters: region, city, property type, activity, smoke extraction and three-phase power. Filters restrict which listings are shown but do not change the order among those that pass the filter.
  • Viability badge: a listing's planning verdict does NOT affect its position. A listing with a favourable verdict is not placed ahead of another.

Influence of remuneration. LocalCheck offers a paid featured-listing product. Its effect is limited as follows: featured listings are shown in a separate block, identifiable as such, and are not interspersed in the ordinary results nor change the position of any other listing within them. No other payment — including the subscription fee — affects ranking.

If LocalCheck changes these parameters, it will give notice in accordance with the notice period set out in this Agreement.

10. Access to data

In compliance with Article 9 of Regulation (EU) 2019/1150, the Agency's access to the data it provides and to the data generated through use of the service is described below:

Data the Agency can access at all times, from its dashboard:

  • its company and contact person details, which it can correct;
  • all its listings with their content, photographs and features;
  • the viability badge calculated for each of its listings;
  • its verification status, subscription and invoices, the latter through the billing portal.

Data generated by the service that the Agency does NOT currently access: LocalCheck keeps an internal record of the contact requests received for each listing, for support and fraud-prevention purposes. That record is not shown in the dashboard. When an interested person requests contact, LocalCheck reveals the Agency's contact details and it is that person who contacts the Agency directly; the data the Agency obtains in that conversation comes from the interested person, not from LocalCheck.

Transfers. LocalCheck does not transfer the Agency's data or its listings' data to third parties for commercial purposes, does not sell it and does not use it to compete with the Agency.

Portability. On termination of the Agreement, the Agency may at any time request a copy of its account and listing data by writing to contacto@localcheck.info.

11. Responsibility for the properties

The Agency warrants that it holds sufficient authorisation, instruction, title or right to list and market the Properties it adds to LocalCheck.

The Agency is solely responsible for: the existence of the Property; availability; ownership or instruction; price; floor area; address; features; condition; photographs; videos; plans; description; lease or sale terms; contact details; information about activities; and any other information included in the listing.

LocalCheck acquires no rights over the listed Properties. Publishing a listing does not constitute certification by LocalCheck of the ownership, availability, lawfulness or planning status of the Property.

12. Content, photographs and third-party rights

The Agency warrants that it holds the rights needed to publish on LocalCheck all the content it adds to the platform, including, among others: texts; photographs; videos; plans; logos; trademarks; documents; and graphics.

The Agency is responsible for obtaining the necessary authorisations from owners, photographers, architects, designers or other rights holders where applicable.

The Agency shall hold LocalCheck harmless, to the extent permitted by law, against third-party claims arising directly from a lack of sufficient rights over the content provided by the Agency.

13. Licence to use content

The Agency retains ownership of the content it publishes. The Agency grants LocalCheck a non-exclusive, worldwide, royalty-free licence, limited to providing and promoting the service, to host, technically reproduce, adapt, resize, generate thumbnails of, display, communicate to the public, index internally and distribute the content through LocalCheck's features.

The licence remains in force while the content is published on LocalCheck and for the additional time needed for backups, compliance with legal obligations or the defence of rights. The licence does not transfer the intellectual property in the content.

14. Viability pre-assessment and information sources

The Agency expressly acknowledges that the viability results, scores, badges, indicators and pre-assessments provided by LocalCheck are indicative and informative.

Those results may be produced using public sources; official sources; LocalCheck's own data; third-party data; algorithms; business rules; Artificial Intelligence systems; and analysis models.

The information used may contain errors, be incomplete, be delayed or have been changed by the original source. In case of discrepancy between the information shown by LocalCheck and the official information published by the competent authority, the official information always prevails.

LocalCheck's results do not constitute: a licence; an administrative authorisation; a planning certificate; a compatibility certificate; a technical report; a technical project; legal advice; or authorisation to carry on an activity.

The Agency acknowledges that it must carry out the necessary technical, legal and administrative checks before making decisions about a Property.

15. Artificial Intelligence

LocalCheck may use Artificial Intelligence systems to analyse, classify, interpret, summarise or explain information about Properties and business activities.

AI-generated results may contain errors, omissions or incomplete interpretations. The Agency accepts that no AI-generated result constitutes legal, technical or administrative advice or replaces the judgement of a competent professional or the decision of the relevant authority.

LocalCheck may modify, replace or withdraw the AI systems used to provide the service.

16. Moderation and unlawful content

LocalCheck may review, restrict, hide, remove or suspend listings and content where there are reasonable grounds to consider that they are unlawful; fraudulent; misleading; infringe third-party rights; relate to non-existent properties; contain false data; breach this Agreement; breach the Terms and Conditions; compromise LocalCheck's security; or may cause significant harm to users or third parties.

Where the breach can be remedied, LocalCheck may ask the Agency to correct it. In cases of fraud, impersonation, serious risk, manifestly unlawful content or security risk, LocalCheck may remove or suspend the content immediately.

Where required by law, LocalCheck will have appropriate mechanisms to receive notices about allegedly unlawful content and will act in accordance with the applicable rules. Moderation measures will be applied reasonably and proportionately, without prejudice to LocalCheck's legal obligations.

17. Fraud, impersonation and forgery

The following, among others, are a serious breach: using a false identity; impersonating another agency; using a tax ID belonging to a third party; providing false documents; listing a non-existent property; listing a property without sufficient authorisation; deliberately manipulating relevant information; creating multiple accounts to circumvent restrictions; or using LocalCheck for fraudulent activities.

In these cases, LocalCheck may suspend the account; remove listings; withdraw the verification badge; block new listings; permanently close the account; keep the evidence needed to defend its rights; claim amounts owed; and take the appropriate legal action.

Termination for fraud does not give rise to a refund of services already provided, without prejudice to any statutory rights.

18. The Agency's obligations

The Agency undertakes to:

  • provide true, accurate, complete and up-to-date information;
  • keep its professional details up to date;
  • list only Properties for which it holds sufficient authorisation;
  • comply with the law applicable to its business;
  • keep its professional registrations and licences current where required;
  • hold the necessary rights over the content it publishes;
  • remove or update outdated listings;
  • answer for claims relating to the content it has provided;
  • use LocalCheck lawfully;
  • respect the general Terms and Conditions;
  • not attempt to access third-party systems or accounts;
  • not introduce malware or malicious code;
  • not scrape or mass-extract information without authorisation;
  • not manipulate LocalCheck's systems;
  • cooperate reasonably with identity and fraud checks.

19. LocalCheck's obligations

LocalCheck will make available to the Agency the features of the plan it has taken out. Depending on the plan, these may include: listing Properties; managing listings; a private dashboard; editing; viability pre-assessment; verification badge; statistics; contact tools; billing; and additional features.

LocalCheck will use reasonable technical means to keep the platform running. However, LocalCheck does not guarantee uninterrupted availability. The service may be interrupted for maintenance; updates; supplier failures; telecommunications networks; external services; security incidents; force majeure; or causes beyond LocalCheck's reasonable control.

20. Price

The standard price of the service is: Setup: €21 + VAT, one-off payment. Subscription: €9.99 + VAT per month.

United States: for Agencies that sign up in the United States market (New York, Miami and Los Angeles), the price is charged in US dollars: setup US$13, one-off, billed on the first invoice; subscription US$5 per month.

The final applicable price will be shown to the Agency before it confirms sign-up. LocalCheck may set different plans, promotions or rates. The Agency is bound by the price expressly shown and accepted during the sign-up process.

21. Launch promotion

During the promotional period set by LocalCheck, Agencies that meet the campaign requirements may benefit from: setup: €0; first four (4) monthly fees: €0; next eight (8) monthly fees: €9.99 + VAT/month.

United States: the launch promotion consists of the first six (6) months free; the US$13 setup fee is billed on the first invoice and, from the seventh month, US$5 per month.

The promotion is conditional on a minimum term of twelve (12) months. The specific campaign terms may include the use of a valid promotional code.

The promotion cannot be combined with other promotions unless expressly stated. LocalCheck may limit the promotion to the number of sign-ups, period or Agency profiles stated in the campaign.

22. Duration and minimum term

The initial contract period has a minimum duration of twelve (12) months where the Agency has taken advantage of a promotion expressly linked to that minimum term.

Under the launch promotion: months 1 to 4: free; months 5 to 12: €9.99 + VAT/month. United States: months 1 to 6: free; months 7 to 12: US$5/month.

The minimum term is the initial contract period of the service and an economic condition of the promotion. During that period the Agency may give notice that it does not wish to renew the Agreement once the minimum period ends, in accordance with clause 23.

23. Requests to leave during the minimum contract period

The initial contract period has a minimum duration of twelve (12) months where so stated in the particular terms of the plan or promotion taken out.

The Agency may at any time state that it does not wish to continue with the service. However, where that request is made before the end of the minimum contract period, it will not immediately terminate the Agreement or the financial obligations for the minimum period contracted.

In those cases, the Agreement remains in force until the end of the minimum contract period originally agreed. During the remaining period, the Agency may continue to use the features of the service that correspond to its contractual position, on the following terms:

  • listings of Properties that are published and still current may remain active;
  • the Agency must keep the information in the listings that remain published up to date;
  • the Agency may change or update the information in existing listings where needed to keep it true and current;
  • the Agency may not list new Properties during the remaining period;
  • the Agency may not use the request to leave to avoid the financial commitment for the minimum period contracted.

Outstanding amounts for the minimum contract period remain payable on the billing dates set out in the Agreement. Those amounts are the price of the service contracted for the minimum period and are not a cancellation penalty.

21.1. Keeping existing listings. Listings published before the request to leave may remain visible during the remaining contract period provided that: the Property is still available; the published information is true and current; the Agency keeps the details up to date; the listing does not breach this Agreement or the Terms and Conditions; and LocalCheck has no legitimate reason to remove it.

The Agency is responsible for removing or updating any listing when the Property is no longer available or when any of its essential terms has changed. LocalCheck may remove listings that are no longer current, contain incorrect information or breach the terms of the service.

21.2. Restriction on new listings. From the moment the Agency requests not to continue the service during the minimum contract period, LocalCheck may restrict its account to managing listings already published. The Agency may not add new Properties to the platform until the current contract period ends and, where applicable, the corresponding renewal takes place. This restriction does not affect the Agency's obligation to keep existing listings up to date.

21.3. Alternative commercial offer. Before definitively applying the restriction on new listings set out in this clause, LocalCheck may offer the Agency a commercial alternative intended to maintain the contractual relationship. The offer may include special financial terms, discounts, discounted months, extended features or other commercial benefits. The Agency is free to accept or reject that offer. If accepted, the particular terms of the offer will replace, for the period expressly stated, the financial terms originally applicable, as set out in the offer itself. Acceptance of the offer may set a new minimum term, which must be expressly stated before acceptance.

21.4. End of the minimum period. Once the end date of the minimum contract period is reached, the special terms associated with that period end. From that date, the Agreement may be renewed under the renewal regime set out in this Agreement and at the rate then in force. The Agency may cancel that renewal if it wishes, without affecting the amounts for the contract period already ended.

21.5. Nature of outstanding amounts. Amounts outstanding during the minimum contract period correspond solely to the price of the service for that period. During that period the Agency remains a LocalCheck customer and the Agreement continues to have effect, with the listing restrictions set out in this clause. The obligation to pay the outstanding monthly fees therefore corresponds to the financial obligations arising from the minimum contract period expressly accepted by the Agency. This clause applies without prejudice to the rights the parties may have under applicable mandatory law.

24. Automatic renewal

Once the initial minimum period ends, the Agreement renews automatically for successive periods of twelve (12) months, unless the renewal is cancelled. The rate applicable on renewal is the one in force on the renewal date.

For reference, the standard rate currently planned is €9.99 + VAT/month, equivalent to €119.88 + VAT per annual period. United States: US$5 per month, equivalent to US$60 per annual period.

The Agency may cancel automatic renewal from its private billing area or through any mechanism provided by LocalCheck. Cancellation takes effect at the end of the current contract period. Cancelling the renewal does not entail a refund of periods already started, unless required by law.

25. Payments, non-payment and interest

Payments are made through the systems provided by LocalCheck, including external payment service providers such as Stripe. LocalCheck does not store full card details where these are handled directly by the payment provider.

In the event of non-payment, LocalCheck may send reminders; temporarily suspend features; suspend listings; suspend access; and claim the outstanding amounts. Overdue unpaid amounts may accrue late-payment interest and collection costs in accordance with applicable law.

26. Termination by LocalCheck

LocalCheck may suspend or close the Agency's account in the event of: non-payment; fraud; impersonation; material falsehood; unlawful listing; listing properties without authorisation; serious or repeated breach; infringement of third-party rights; abusive use; security risk; legal obligation; or an order from a competent authority.

Where the breach can be remedied, LocalCheck may grant a reasonable period to correct it. Suspension or termination does not extinguish amounts already accrued.

27. Intellectual property

The LocalCheck trademark, software, code, design, interface, proprietary databases, algorithms, methodologies, scoring systems, graphics and other proprietary elements of the platform belong to KonnektWerk or its licensors.

Signing up for the service does not transfer to the Agency any intellectual or industrial property right in LocalCheck. The Agency only obtains a limited right to use the platform while the Agreement is in force.

Copying; reproducing; distributing; modifying; decompiling; reverse-engineering; sublicensing; reselling; commercially exploiting; or systematically extracting data is prohibited, unless expressly authorised or where a mandatory rule permits it.

28. Data protection

Personal data will be processed in accordance with Regulation (EU) 2016/679 (GDPR), Spanish Organic Law 3/2018 and other applicable rules. LocalCheck will process the personal data of the Agency and its representatives in accordance with its Privacy Policy.

The Agency is responsible for having a sufficient legal basis to provide LocalCheck with third-party personal data it includes in listings. The Agency undertakes not to include special categories of personal data or unnecessary personal information.

Where, for a specific processing operation, LocalCheck acts as processor on behalf of the Agency, the corresponding data processing agreement under Article 28 GDPR will apply. Each party is liable for the processing it carries out under its own responsibility.

29. LocalCheck's liability

LocalCheck will provide the service with reasonable technical means. However, LocalCheck is not liable for: the truthfulness of listings; the ownership of Properties; the existence of an instruction; the availability of a Property; the accuracy of floor areas or prices; land-registry status; planning/zoning status; the granting of licences; administrative decisions; commercial results; negotiations between the parties; information provided by third parties; errors in external sources; or business decisions made by the Agency.

Nor is LocalCheck liable for loss of profit, loss of business opportunities or indirect damages, unless that liability cannot lawfully be excluded.

In B2B relationships and to the extent permitted by law, LocalCheck's total contractual liability arising from a given event is limited to the amount actually paid by the Agency during the twelve (12) months preceding the event giving rise to the claim. This limitation does not apply where a mandatory rule establishes liability that cannot be limited.

30. Indemnity

The Agency shall answer, to the extent permitted by law, for third-party claims arising directly from: content published by the Agency; lack of rights over photographs or texts; unauthorised listing of a Property; deliberate falsehood; impersonation; infringement of intellectual or industrial property; unlawful use of LocalCheck; or legal breaches attributable to the Agency.

This obligation does not affect liabilities directly attributable to LocalCheck.

31. Notices

Notices may be given by email; private area; notifications within LocalCheck; electronic billing systems; or other electronic means provided.

The Agency is responsible for keeping its contact details up to date. Contractual notices will be sent to the details provided at registration or subsequently changed by the Agency.

32. Electronic contracting and evidence

Sign-up takes place by electronic means. Before sign-up, LocalCheck will make available to the Agency: this Agreement; the financial terms; the duration; the minimum-term conditions; the renewal terms; the applicable promotion; and the general Terms and Conditions.

The Agency may store and reproduce the Agreement before completing sign-up. Acceptance may be recorded through: the exact version of the Agreement accepted; date and time; IP address; session identifier; browser; email; billing details; payment confirmation; and other technical data reasonably necessary.

LocalCheck will send or make available to the Agency an electronic confirmation of sign-up.

33. Amendment of the Agreement

LocalCheck may amend this Agreement where necessary due to legislative changes; regulatory changes; technical changes; evolution of the services; new features; changes of suppliers; security needs; or reasonable changes to the business model.

Material amendments will be notified to the Agency with reasonable advance notice. Price changes will not affect periods already paid. New rates will apply to renewals after they take effect. Where a rate change affects a future renewal, the Agency may avoid that renewal by cancelling within the period provided.

34. Entire agreement and applicable documents

The contractual framework of the relationship between LocalCheck and the Agency consists of:

  • applicable mandatory law;
  • this Agreement;
  • LocalCheck's general Terms and Conditions;
  • the Privacy Policy;
  • the Cookie Policy, where applicable;
  • the data processing agreement, where applicable;
  • the particular terms of the promotion or plan taken out.

In case of conflict between documents, this Agreement prevails solely on the matters it specifically regulates. The general Terms and Conditions remain fully applicable to everything not specifically regulated in this Agreement.

35. Severability

If any provision of this Agreement is declared void, invalid or unenforceable, in whole or in part, the remaining provisions remain valid. The parties will seek to replace the affected provision with a valid one producing, as far as legally possible, an equivalent economic and legal effect.

36. Force majeure

Neither party is liable for failures arising from events beyond its reasonable control. These may include, among others: natural disasters; fires; widespread telecommunications outages; serious infrastructure failures; extraordinary cyberattacks; armed conflicts; acts of authority; general strikes; pandemics; or extraordinary failures of critical suppliers.

The affected party will endeavour to inform the other where reasonably possible.

37. Governing law and jurisdiction

This Agreement is governed by Spanish law. Given the business or professional nature of the contract, where the applicable rules permit express submission, the parties agree to submit disputes arising from this Agreement to the Courts of Barcelona (Spain), expressly waiving any other jurisdiction that may apply to them. This clause applies without prejudice to any mandatory jurisdiction that may apply.

38. Acceptance

The Agency declares:

  • that it has read this Agreement;
  • that it has had access to LocalCheck's general Terms and Conditions;
  • that it understands the technological nature of the service;
  • that it acts for business or professional purposes;
  • that the details provided are true;
  • that it has sufficient authority to contract;
  • that it knows the financial terms;
  • that it knows the minimum term, where applicable;
  • that it knows the renewal terms;
  • that it understands the indicative nature of the viability pre-assessments;
  • that it knows and accepts the obligations regarding listings and content;
  • that it accepts the suspension and termination terms.

Electronic acceptance through the checkbox provided and completion of the sign-up process constitute an express expression of consent to and acceptance of this Agreement.

Annex I — Financial terms of the launch promotion

Where the Agency meets the conditions of the promotion:

  • Setup: €0 + VAT
  • Months 1–4: €0 + VAT
  • Months 5–12: €9.99 + VAT/month
  • Minimum term: 12 months
  • Subsequent renewal: €9.99 + VAT/month, at the rate then in force
  • Renewal billing: 12 months
  • Cancelling renewal: from the private area before the next renewal

United States: setup US$13, billed on the first invoice; months 1–6 free; months 7–12 US$5/month; minimum term 12 months; renewal at US$5/month or the rate then in force.

Application of the promotion is conditional on meeting the campaign requirements and, where applicable, on the use of a valid promotional code.

Annex II — Pre-contractual summary

Before sign-up is completed, LocalCheck will show the Agency a summary equivalent to the following:

  • SERVICE: Listing of LON Properties on LocalCheck
  • SETUP: €0 + VAT during the promotion (United States: US$13 on the first invoice)
  • MONTHS 1–4: €0 + VAT (United States: months 1–6 free)
  • MONTHS 5–12: €9.99 + VAT/month (United States: months 7–12, US$5/month)
  • MINIMUM TERM: 12 months
  • RENEWAL: automatic for 12-month periods
  • RENEWAL PRICE: rate in force on the renewal date
  • CANCELLING RENEWAL: from the private area before the next renewal
  • DURING THE MINIMUM PERIOD, AFTER REQUESTING NOT TO CONTINUE: existing listings that are still current may be kept and managed, but no new Properties may be listed.
  • DOES NOT INCLUDE: any guarantee of a licence, administrative authorisation, commercial result or planning certification.

The Agency must expressly accept the Agreement before completing sign-up.
