Listing terms — Independent agent (v1.1)

This is an English translation of the Spanish original. The contract is entered into with a Spanish company and is governed by Spanish law; in case of any discrepancy between the two versions, the Spanish version prevails.

These terms govern the Independent Agents Programme of LocalCheck and PropCheck, a free trial period by invitation under which a self-employed real-estate agent (the “Agent”) may list, for a limited time and at no cost, commercial units, offices and industrial buildings — including warehouses and storage units — on LocalCheck (the “LON Properties”), and homes, plots or land, and other properties such as buildings, garages or storage rooms on PropCheck (the “PropCheck Properties”). A single registration gives access to both.

What it is for: for the Agent to try the platform with their own properties, see whether it is useful in their daily work and make an informed decision about whether to continue.

What it is NOT: this registration is not an agency agreement, an employment contract, or a representation or exclusivity agreement. It creates no relationship of dependence between the Agent and KonnektWerk Tech & Entertainment S.L.U. It does not make the Agent a partner, distributor or sales representative of LocalCheck, nor authorise them to contract or undertake obligations on its behalf.

LocalCheck is a technology provider: it takes no part in the sale, lease, brokerage or negotiation of the listed Properties, and guarantees no commercial result from listing them.

The Programme is aimed exclusively at individuals who carry out real-estate brokerage on their own account, registered as self-employed (in Spain, as “autónomos”; elsewhere, under the equivalent status for sole proprietors).

Expressly excluded are real-estate agencies, companies of any legal form, franchises, office networks and any structure with several agents under it. These have their own listing agreement, on different terms.

Registration requires a personal, single-use invitation code given directly by LocalCheck. The Agent undertakes not to transfer or share it.

LocalCheck manually reviews each registration before enabling listings and may refuse it, without having to give reasons, when the applicant does not meet the conditions of this section. If it later turns out that the Agent is not an independent professional, LocalCheck may cancel the registration in accordance with section 9.

The trial period lasts twelve (12) calendar months from the date the registration is approved.

During that period, and at no cost to the Agent, the Programme includes:

• listing of up to fifteen (15) new LON Properties per calendar month on LocalCheck, with no carry-over from one month to the next;
• listing of up to fifteen (15) new PropCheck Properties per calendar month on PropCheck, also with no carry-over; the two allowances are independent and cannot be added together or exchanged;
• keeping properties already listed on either platform, whose renewal does not use up the monthly allowance;
• calculation of the planning/zoning viability of each LON Property listed and its badge on the listing (PropCheck gives no business verdict: it gathers each property's information and cites its source);
• access to a personal dashboard to manage LocalCheck and PropCheck listings and enquiries;
• an email notice when someone requests information about one of their listings on either platform.

The Agent may buy additional listings beyond the monthly allowance by one-off payment, at the price shown in their dashboard at the time of purchase. That purchase is voluntary, creates no subscription and does not require keeping any payment method on file.

No payment method is requested or stored to join the Programme. The trial period does not automatically turn into a paid service.

During the trial period, LocalCheck undertakes to:

• keep the service available on the same terms offered to the Agent, without introducing new charges;
• calculate the planning/zoning viability of listed properties from official sources, citing the rule each condition comes from;
• say so honestly when the available information does not allow a verdict, instead of giving an unreliable one;
• pass on to the Agent, without intermediation or withholding, the contact details of anyone who requests information about their listings;
• notify the Agent sufficiently in advance before the trial period ends, in accordance with section 9.

LocalCheck provides the service with the diligence required of a technology provider, without guaranteeing uninterrupted availability of the platform or of the official services from which it obtains planning information.

The Agent is solely responsible for the content they list. In particular, they represent and warrant that:

• they are authorised to market each property they list and hold the owner's authorisation;
• the listing details (address, floor area, price, features and photographs) are true and up to date;
• they hold the necessary rights to the images and texts they upload;
• they comply with the rules applicable to their professional activity, including, where relevant, registration in the real-estate agents' register of their autonomous community (or, outside Spain, the licence or registration required by the applicable state or local law).

The Agent shall hold KonnektWerk Tech & Entertainment S.L.U. harmless against any third-party claim arising from the content they have listed.

The planning/zoning viability verdict LocalCheck provides is preliminary technical information, not a report signed by a qualified professional nor a licence. It does not replace the project or the certification the local authority requires, nor the architect or engineer who must sign them. The Agent shall not present it to third parties as such.

LocalCheck does not sell or transfer to third parties the personal data of the Agent or of those interested in their listings. That data is not traded or used for third-party advertising.

Data is processed solely to provide the service: registering and verifying the account, publishing listings, calculating their viability, putting the interested person in contact with the Agent and complying with applicable legal and accounting obligations.

The technology providers involved (hosting, database, transactional email and payments) act as data processors, under a signed contract and without authorisation to use the data for their own purposes. Details are in the Privacy Policy.

Data of interested persons: when someone requests information about a listing, LocalCheck passes their email and phone number to the Agent. From that moment the Agent is the controller of that data and undertakes to use it only to handle that request, not to transfer it to third parties and not to use it in any unrelated marketing without a legal basis.

Both parties shall keep confidential any non-public information they access in the course of this relationship, an obligation that survives its termination.

The Agent undertakes to list each property on the channel that matches its type, and only those types: on LocalCheck, commercial units, offices and industrial buildings (including warehouses and storage units); on PropCheck, homes, plots or land, and other properties such as buildings, garages or storage rooms. They further undertake not to duplicate listings, not to list properties they do not market and not to use the platform for purposes other than those set out in these terms.

LocalCheck may remove any listing that breaches the above or that is the subject of a well-founded report, informing the Agent of the reason.

The account is personal and non-transferable. The Agent is responsible for safeguarding their credentials and for keeping active the two-factor authentication the platform requires for accounts that publish listings.

This registration grants no territorial exclusivity of any kind, no preference in search results and no right to feature listings.

It involves no commitment to generate enquiries, viewings or transactions. LocalCheck earns no commission on the transactions the Agent closes and takes no part in them.

It does not include technical reports or review by a licensed professional, which are separate services.

LocalCheck will notify the Agent by email before the trial period ends, with staggered reminders over the final months, so that the date comes as no surprise.

When the twelve months are up, the Agent decides:

• If the Programme has been useful, they may take out the subscription plan then in force, whose terms and price will be communicated in advance. Signing up is always an express act by the Agent: there is no automatic renewal or charge.
• If they prefer not to continue, they need do nothing. The arrangement ends at no cost, with no penalty and no minimum commitment of any kind.

If the Agent does not take out the subscription, they will no longer be able to list new properties. Listings still published will remain visible for thirty (30) calendar days after the end of the period, after which they will be unpublished and deleted, together with their photographs.

The Agent may terminate at any time by writing to contacto@localcheck.info, and request erasure of their data in accordance with the Privacy Policy. LocalCheck will keep only what tax or evidentiary rules require it to keep.

LocalCheck may suspend or cancel the registration, stating the reason, in the event of a serious breach of these terms, fraudulent use of the platform, or where it is shown that the Agent does not meet the conditions of section 2.

This Programme was created to build a stable relationship. LocalCheck is looking for agents who want to grow with the platform in their city, which is why the trial period is long, free and without a minimum commitment: continuation must be earned through proven usefulness, not through a clause.

LocalCheck may amend these terms for technical, legal or operational reasons, giving the Agent at least thirty (30) days' notice. If the Agent does not agree, they may terminate at no cost before the changes take effect.

These terms are governed by Spanish law and are supplemented by LocalCheck's Legal Notice, Privacy Policy, Cookie Policy and Terms and Conditions, which the Agent declares they know and accept.
